1. Interpretation and Definitions

Interpretation

Words with capitalized initials have meanings defined in this section. These definitions apply whether singular or plural.

Definitions

Application: The software program provided by the Company and downloaded on any Device.
Application Store: Apple App Store or Google Play Store.
Affiliate: Any entity controlling, controlled by, or under common control with a party (50%+ voting rights).
Account: A unique account providing access to the Service.
Country: Florida, United States.
Company / We / Us / Our: eServSol Corporation.
Content: Text, images, data, or other material posted or uploaded by You.
Device: Any device capable of accessing the Service.
Feedback: Suggestions, improvements, or insights You provide.
Goods / Services: Any service, job, or booking offered through the platform.
Orders: Requests by You to purchase Goods/Services/Bookings.
Promotions: Contests, sweepstakes, or offers provided through the Service.
Service: The Application, Website, platform, or any combination thereof.
Terms and Conditions / Terms: This entire agreement.
Third-Party Social Media Service: Any external service integrated into or interacting with the platform.

2. Scope

These Terms apply to all users of the platform, including Clients, Contractors, and any registered users.

3. Acknowledgment

By accessing the Service, You agree to these Terms and our Privacy Policy.

You must be 18+ to use the Service.
If You disagree with any part, You must stop using the Service.

Your use of the Service is subject to compliance with all laws, including building codes, licensing requirements, and local regulations.

4. Role of the Platform

The platform functions solely as a technical marketplace connecting Clients with independent Contractors.

eServSol is NOT a party to any service agreement between users.
eServSol does not employ Contractors.
All agreements, liabilities, workmanship, payments, regulations, and compliance exist solely between the Client and the Contractor. The processing of payments through eServSol does not create any contractual relationship between eServSol and either party.

5. Independent Contractor Status

Contractors act as independent businesses, responsible for:

Their own taxes, insurance, and workers’ compensation.
The Client and Contractor must comply with all applicable licensing, regulatory, and legal requirements at the local, state, federal, and international levels. This obligation includes, where relevant, compliance with Florida licensing requirements (Florida Statutes Chapter 489), independent of eServSol Corporation’s Miami, Florida headquarters.
Holding valid trade licenses, required certifications, and permits.
Ensuring lawful operation in their jurisdiction.

License Verification
eServSol may:

Request proof of licenses at any time
Suspend or terminate accounts until verification is completed
Report unlicensed activity where required by law

This is a mandatory, binding clause.

6. Client Responsibilities

Clients are responsible for:

Verifying contractor qualifications before hiring
Ensuring zoning, building code, and permit compliance
Providing safe access to the job site
Issuing clear, complete instructions

eServSol does not supervise, inspect, or guarantee contractor work.

7. Accounts & Verification

You must provide accurate, truthful information.

eServSol may suspend or terminate accounts for:

False data
Identity fraud
License violations
Safety risks
Illegal conduct
Review manipulation
Payment fraud

Password security is solely your responsibility.

8. Orders, Payments & Fees

Placing Orders

By placing an Order, You warrant You can enter a binding contract.

Information Required

You may need to submit:

Name
Email
Phone
Billing and project address
Payment details (credit card, PayPal, etc.)

Commission for Clients

The Client’s commission is calculated based on the applicable commission structure, which varies depending on the order value. The exact commission amount and calculation will be shown on the invoice. It becomes due once the contract between the Client and Contractor is concluded.

Invoices/Credit Notes

eServSol issues invoices/credit notes for commission to Contractors.

Payment Terms

Payments are processed only via supported payment methods.
Unauthorized or declined transactions void the Order.

Travel Costs

Calculated individually based on hourly rate and distance.

9. Order Cancellation

eServSol may cancel an Order at any time due to:

Unavailable services
Pricing errors
Suspected fraud
Illegal transactions

Your Cancellation Rights

You may cancel Orders only if:

A Contractor has not accepted the job yet
Cancellation complies with the platform’s Cancellation Policy

10. Availability & Errors

The Service may contain inaccuracies, delays, or outdated information.
eServSol may change or correct information at any time.

No guarantee of availability, accuracy, or pricing correctness is provided.

11. User Accounts & Conduct Rules

You must not:

Use false identities
Impersonate others
Upload illegal or harmful content
Upload malware
Scrape, hack, or reverse-engineer the platform
Manipulate reviews

Violation may result in immediate termination.

12. Content

Posting Content

You retain ownership but grant eServSol:

A worldwide, royalty-free license
To store, display, modify, distribute, and use Content for platform operation

Content Restrictions

Forbidden content includes:

Illegal material
Defamation or discrimination
Violence, hate speech
Spam
Malware
Copyright infringement
Impersonation
Privacy violations

Content Backup

No guarantee of backup integrity is provided.

13. Copyright / DMCA

DMCA claims must be sent to:
support@eservsol.com

eServSol may remove infringing material at its discretion.

14. Promotions

Promotions have separate rules. Where conflicts exist, Promotion rules override these Terms.

15. Anti-Circumvention (Strict Rule)

Users may not:

Circumvent the platform
Arrange off-platform payments
Divert leads, contracts, or communication off-platform

Violations result in:

Immediate account termination
Liquidated damages: 25% of job value, minimum USD 500
Additional legal remedies

This clause is binding and fully enforceable.

16. Privacy

Data is processed under the Company’s Privacy Policy.

By using the platform, You consent to:

Data processing
Data transfer (including internationally)
Storage under US law

17. Intellectual Property

All rights in the platform, content, design, logos, trademarks, and software belong exclusively to eServSol.

Unauthorized use is prohibited.

18. Feedback

You assign all Feedback rights to eServSol.
If assignment fails, You grant an irrevocable global license.

19. Links to Third-Party Websites

eServSol is not responsible for external websites linked through the Service.

20. Termination

eServSol may terminate or suspend accounts at any time for:

Policy violations
Legal violations
Unsafe behavior
Fraud
Non-payment

Users may delete their accounts at any time.

21. Limitation of Liability

eServSol shall be liable solely for damages arising from its own gross negligence or intentional misconduct, or that of the Contractor Superstar platform. Any liability beyond this is excluded.

eServSol is not liable for:

Contractor workmanship
Delays, cancellations, injuries, losses
Off-platform payments
Permit issues, licensing, legal compliance
Consequential or incidental damages

22. Indemnification

You agree to indemnify and hold eServSol harmless from claims arising from:

Violations of law
Licensing failures
Poor workmanship
Use of the platform
Breach of these Terms
Off-platform deals
Misrepresentations

This indemnity is broad and fully enforceable.

23. “AS IS” / “AS AVAILABLE” Disclaimer

The Service is provided without any warranty, including:

Merchantability
Fitness for a purpose
Accuracy
Error-free operation
Continuous availability

Some jurisdictions may limit this disclaimer.

24. Dispute Resolution

You must attempt informal resolution with eServSol first.

25. EU Users

EU consumers benefit from mandatory EU consumer protection laws.

26. US Legal Compliance

You confirm:

You are not in an embargoed country
Not on US restricted lists

27. Severability & Waiver

Invalid provisions are modified to achieve their objective.
Failure to enforce a right is not a waiver.

28. Translation Interpretation

The English version prevails in case of discrepancy.

29. Governing Law & Venue

These Terms are governed by:

State of Florida law
Exclusive jurisdiction: Miami-Dade County, Florida, USA

This applies to all disputes, claims, and enforcement actions.

30. Changes to These Terms

eServSol may modify Terms at any time.

Material updates will be announced with 30 days’ notice where feasible.

Continued use of the platform means acceptance of the revised Terms.
